ZeroStack Issues Going Concern Warning After $82.5M Digital Asset Collapse
Nasdaq-listed cryptocurrency treasury firm ZeroStack has disclosed substantial doubt about its ability to sustain operations through 2027, revealing a dire financial position marked by $82.5 million in fair value losses and a 91% impairment on its primary token holdings.
Reversal on Operating Viability
Nasdaq-listed cryptocurrency treasury firm ZeroStack has disclosed substantial doubt about its ability to sustain operations through the next twelve months, according to a Form 10-Q filing submitted to the Securities and Exchange Commission on Friday. This assessment represents a dramatic reversal from the company’s position in its first-quarter report, when management stated that available cash and staking rewards would be sufficient to cover working capital requirements and obligations for at least another year.
As of June 30, ZeroStack reported $2.6 million in liquid cash, negative working capital of $600,000, and an accumulated deficit of $339.1 million. The company also posted an $82.5 million fair value loss on digital assets and recorded a net loss of $61.3 million during the first half of 2026.
Token Holdings Face Catastrophic Impairment
ZeroStack’s most pressing challenge stems from the severe decline in its Zero Gravity token holdings. The company holds 75.1 million 0G tokens that were acquired for a total cost of $163.3 million but now carry a fair value of only $15.2 million—representing a 91% depreciation from recorded acquisition costs. This massive impairment on the company’s primary digital asset demonstrates the risks inherent in concentrated treasury strategies dependent on single tokens.
The company’s operational model relies substantially on staking rewards and token sales to fund expenses. During the first half of 2026, ZeroStack generated $3.8 million through staking, earning 6.6 million 0G tokens after validator commissions. To sustain operations, the company sold approximately 4.9 million tokens for $2.4 million. Management indicated it could liquidate additional treasury holdings if necessary, yet acknowledged these strategies may prove insufficient to resolve operating concerns.
Strategic Transformation Turned Problematic
ZeroStack emerged from Flora Growth, a cannabis and CBD products company that underwent a dramatic pivot into cryptocurrency treasury management. In September, Flora announced $401 million in funding for a Zero Gravity treasury strategy, comprising $35 million in cash and equivalent commitments plus more than $366 million in digital assets. The company subsequently rebranded as ZeroStack while maintaining its Nasdaq listing, positioning itself as an institutional-grade cryptocurrency management firm.
The subsequent decline in 0G’s market value has transformed this strategic initiative into a cautionary example of concentration risk in emerging blockchain platforms. The company’s inability to execute its original financial projections highlights the challenges institutions face when building treasury strategies around tokens lacking established liquidity and price stability.
ZeroStack’s struggle illustrates how cryptocurrency treasury models remain vulnerable to market volatility and token depreciation, particularly when institutions lack adequate diversification and sustainable revenue streams independent of asset price appreciation.
