Metaplanet announced a major expansion of its Bitcoin treasury strategy to North America, according to the Tokyo-listed firm’s disclosure reported by Decrypt. The company, one of the world’s largest corporate Bitcoin holders, committed to contributing 2,100 BTC—valued at approximately $132.1 million—along with $2.5 million in cash to Super League Enterprise, a Nasdaq-listed gaming and media company.
Under the transaction, Super League will be rebranded as Superplanet, Inc., trading under the ticker SUPA, and will become a consolidated Metaplanet subsidiary. Metaplanet will control approximately 95.7% of the common stock upon closing, anticipated for the fourth quarter, while Super League’s existing advertising operations will continue as a distinct business segment.
Building a Dual-Listed Bitcoin Entity
Metaplanet CEO Simon Gerovich described the transaction as a strategic opportunity to access global capital markets while compounding the company’s Bitcoin accumulation efforts. By establishing a dual-listed entity, Metaplanet aims to build its cryptocurrency holdings across two separate public platforms. The Tokyo-listed firm currently owns 43,000 BTC, making it the third-largest corporate holder of the cryptocurrency.
This marks Metaplanet’s first operational presence in the United States and signals the company’s ambitions beyond simple Bitcoin accumulation. The firm recently acquired a Japanese securities company to launch Bitcoin yield-generating products and introduced Bitcoin-backed “Bitbonds.” Metaplanet has also signaled plans for a dedicated U.S. subsidiary with a separate $250 million Bitcoin strategy.
A Structured Deal That Sets It Apart
Analyst Mark Palmer of Benchmark-StoneX highlighted several factors that distinguish this transaction from other recent corporate treasury initiatives. Most importantly, Metaplanet is funding the deal using Bitcoin from its own balance sheet rather than raising third-party capital at a discount—a common approach in recent shell-and-PIPE treasury deals.
Additional structural features reinforce the arrangement’s credibility. The share count was fixed on August 14 and will remain static regardless of Bitcoin price fluctuations before closing. The equity valuation was set near Super League’s recent market price rather than at a negotiated discount. Metaplanet’s shareholding carries a five-year lock-up period, demonstrating commitment to the long-term consolidation strategy. Palmer, who maintains a buy rating on Metaplanet, has characterized the firm as “the Strategy of Japan” for effectively implementing a corporate Bitcoin treasury approach in a nation facing persistent negative real interest rates and a weakening currency.
Following the deal’s completion, Superplanet intends to publish Bitcoin-per-share metrics alongside traditional financial reporting. The transaction underscores how corporations are increasingly leveraging Bitcoin as a strategic asset class. Metaplanet’s dual-listing model offers institutional investors a precedent for how Bitcoin holdings can be deployed across multiple public entities, potentially influencing how other firms structure their digital asset strategies.
