Bond Issuance Preserves Bitcoin Holdings While Reducing Debt

According to Metaplanet, the Japanese investment and Bitcoin treasury company plans to issue 52 billion yen ($329 million) in zero-coupon convertible bonds with a five-year maturity, due in 2031. The bond structure allows the company to access capital markets without relying on the traditional interest-bearing debt arrangements that have constrained its financial flexibility.

By accessing capital markets through convertible bonds rather than liquidating Bitcoin holdings, Metaplanet is pursuing a strategic approach to rebalancing its liability structure. The issuance directly addresses the company’s reliance on Bitcoin-collateralized loans, which have represented a significant ongoing obligation. This method of raising capital while preserving underlying Bitcoin assets reflects a calculated bet on Bitcoin’s long-term value appreciation and its growing institutional adoption.

Allocation Strategy Balances Debt Reduction and Shareholder Returns

The company will allocate the bond proceeds across two distinct strategic objectives. Approximately 23.6 billion yen ($149 million) will be directed toward repaying Bitcoin-collateralized loans, providing immediate relief from high-maintenance debt structures. The remaining allocation of approximately 28.3 billion yen ($179 million) will support share buybacks, with this tranche representing part of a broader shareholder return program targeting up to 60 billion yen ($380 million) in total repurchases.

This dual-purpose approach attempts to address both leverage reduction and shareholder value creation simultaneously. The buyback initiative signals management confidence in its strategic positioning despite significant recent stock market weakness.

Institutional Bitcoin Holdings Amid Market Headwinds

Metaplanet stands as the second-largest publicly listed Bitcoin treasury company globally, maintaining 44,000 BTC in holdings valued at approximately $3.6 billion. However, the company’s stock price has weathered substantial pressure, closing 1.5% lower on the announcement day and declining 52.6% over the previous twelve months.

The bond issuance arrives alongside broader strategic initiatives. Earlier in October, Metaplanet revealed a revised capital allocation framework proposing to dedicate up to 15% of total assets to strategic investments supporting Bitcoin accumulation and dividend payments. These announcements come as the company navigates internal governance matters, including September controversies over executive compensation structures that management addressed by reducing the stock option pool by approximately 41% mid-month.

Metaplanet’s bond strategy illustrates how institutional Bitcoin holders are increasingly leveraging traditional financial instruments to optimize balance sheets while maintaining digital asset exposure—a development that could strengthen Bitcoin’s positioning as a legitimate institutional-grade asset class.
