SEC Approval Removes Final Listing Barrier

The U.S. Securities and Exchange Commission has green-lit Evernorth’s Form S-4 registration, eliminating the principal regulatory hurdle to its combination with special purpose acquisition company Armada Acquisition Corp. II. With SEC clearance now in place, Evernorth’s direct path to Nasdaq under the ticker symbol XRPN opens, with the deal expected to complete in the final quarter of 2026. Armada shareholders will cast their final votes on September 30, effectively rubber-stamping the merger timeline.

A New Model for XRP Capital Deployment

What distinguishes Evernorth from existing publicly-traded crypto entities lies in its treasury management philosophy. Rather than passively holding assets on balance sheets—a strategy deployed by some Bitcoin-focused firms—Evernorth intends to dynamically manage its XRP reserves. According to company founder Asheesh Birla, the capital base and hundreds of millions in XRP tokens will flow into blockchain infrastructure spanning payment corridors, tokenized assets, and decentralized lending protocols. This approach aims to generate economic returns within the XRP ecosystem and channel that yield back into shareholders through token accumulation per share. Birla, who spent 12 years at Ripple before departing its board to build independent XRP-focused infrastructure, brings deep ecosystem knowledge to the venture.

The institutional appeal is clear: XRPN provides regulated market exposure to XRP’s economy without exposing investors to custody complexity or wallet management risk—a significant draw for traditional institutional capital seeking entry into digital assets.

Funding Secured, Though Challenges Loom

Evernorth has closed over $1 billion in gross proceeds from investment rounds, with heavyweight backing including a $200 million commitment from SBI Group. Ripple itself contributed 126.8 million XRP tokens to the treasury, while Arrington Capital added 211.3 million XRP. Other notable participants include Pantera Capital, Kraken, and GSR. At the time of the merger agreement, Evernorth’s reserve base totaled 473 million XRP.

However, the structure faces real headwinds. The company has already absorbed a $233.7 million impairment charge as XRP’s valuation declined sharply from the $2.36 price embedded in original deal terms to approximately $1 today. This volatility forced management to restructure the listing to tie final share issuance to XRP’s volume-weighted average price at merger completion—a defensive mechanism acknowledging market risk.
